Please be advised that on April 7, 2025 (the “Assignment Date”), Hyzon Motors, Inc., Hyzon Motors USA, Inc., Hyzon Motors Fleet, LLC and Hyzon Zero Carbon, Inc. (“Hyzon,” “Assignors” or the “Companies”) executed a Delaware Assignment for the Benefit of Creditors (the “Assignment”) in favor of Hyzon ABC, a Delaware series limited liability company (the “Assignee”). The Assignment was approved by the Company’s Board of Directors and a majority of the Company’s shareholders."
